These Terms of Service ("Terms") govern your access to and use of the website located at www.challengerlog.com (the "Site"), operated by Challenger Logistics, a Ba-Kaya Brand ("Challenger Logistics", "we", "us", or "our"). Challenger Logistics provides independent freight business development services, including lane qualification analysis, pilot program structuring, carrier and broker partnership development, and related consulting. The Site is a marketing and lead-generation tool. It does not constitute a binding contract for services. Any engagement for services requires a separate written agreement signed by both parties.

2. Acceptable Use

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You must not:

• Attempt to gain unauthorized access to any part of the Site or its underlying systems.

By submitting information through these forms, you represent that the information is accurate and that you have the authority to share it. You acknowledge that submission does not create a contractual obligation on the part of Challenger Logistics to respond, engage, or provide services.

Lane Pilot Fit Scores generated by the qualification and quote tools are algorithmic estimates based on the information you provide. They are for informational purposes only and do not constitute a guarantee of service availability, pricing, or performance outcomes.

4. Intellectual Property

All content on the Site — including text, graphics, logos, methodology descriptions, scoring frameworks, and software — is the property of Challenger Logistics or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

The Challenger Logistics name, logo, and "Teach. Tailor. Take Control." tagline are proprietary marks of Ba-Kaya Brand. Unauthorized use is prohibited.

5. Third-Party Links and Services

The Site contains links to third-party services, including HubSpot (meeting scheduling) and external resources. These links are provided for convenience only. Challenger Logistics does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site or service. Market rate estimates, lane scoring, and pricing tier recommendations are informational tools only. They are not binding quotes, rate guarantees, or commitments to service. Actual rates and service terms are subject to negotiation and a separate written agreement.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Challenger Logistics and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Site or any content or services described on it — even if advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to these Terms or the Site shall not exceed one hundred U.S. dollars ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Challenger Logistics and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your submission of false or misleading information.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Site shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
